1. Introduction
skeleton social LLC, doing business as skeleton and skeleton social (“we,” “our,” or “us”), provides the social and professional networking app-based platform skeleton (the “App”) and related services described in these Terms of Service (“Terms” or “Agreement”). By downloading, installing, or using the App, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy and End User License Agreement (EULA). Please read them carefully. If you do not agree to these Terms or any related policies, do not use the App.
2. Acceptance of Terms
By accessing or using the skeleton app (the "App"), you agree to comply with and be bound by these Terms of Service. If you do not agree to these terms, you may not use the App.
3. License Grant
skeleton social LLC grants you a limited, non-exclusive, non-transferable, revocable license to access and use the App for personal, non-commercial purposes, in accordance with these Terms of Service. For detailed terms of the license, please refer to the EULA.
4. Description of Services
skeleton provides a minimal content social and professional networking platform with features such as states, scripting, syndicates, syncs, scenes, and syndicate syncs (the "Services"). The Services are provided by skeleton social LLC. The App is available on iOS. Versions on Android, web application, and other platforms may be available in the future.
5. Purchases and Payment Processing
We may make certain subscriptions, features, services, events, experiences, products, or other offerings available for purchase through the App or through other channels we make available from time to time. When you complete a purchase, you authorize us and our payment provider to charge your chosen payment method for the applicable amount. Personal information provided in connection with a purchase, including billing details, is collected and processed as described in our Privacy Policy. We are not responsible for errors caused by third-party payment providers, but will work with them in good faith to address issues where appropriate. Purchases are governed by our Terms of Sale. If these Terms of Service conflict with the Terms of Sale regarding a purchase, the Terms of Sale control.
6. Applications and Membership
Access to skeleton may require an application and acceptance process. Submission of an application does not guarantee acceptance, access, or any particular review timeline. If accepted, you may be offered access to the App and, where applicable, the option to begin a free trial or purchase a subscription subject to the Terms of Sale and any additional terms presented at the time.
7. Eligibility
You must be at least 18 years old to use the App. By using the App, you represent and warrant that you meet this eligibility requirement.
8. Account Registration
To access certain features of the App, you must register for an account. During registration, you may be able to enter an invitation code (“skeleton code”). You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for maintaining the confidentiality of your account password and for all activities that occur under your account.
9. Subscription Tiers
skeleton may offer paid subscriptions and other paid offerings. Subscription plans, billing periods, free trial availability, pricing, included features, and eligibility requirements may vary and will be described in the App or at the time of purchase. We may also introduce, modify, or discontinue plans, features, add-ons, events, experiences, physical goods, or other offerings from time to time, subject to applicable law and our Terms of Sale.
10. User Conduct
Users are expected to conduct themselves in a manner that strives for respect, open dialogue, inspiration, creativity, mutual support, and positivity. You agree to respect the legal and ethical boundaries while using the App. You agree not to use the App for any unlawful or prohibited purpose. You are responsible for all your activities in connection with the App and must abide by all applicable local, state, national, and international laws and regulations. Prohibited conduct includes, but is not limited to:
Posting content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable.
Engaging in harassment, bullying, or hate speech.
Impersonating another person or entity.
Engaging in any activity that interferes with or disrupts the App or the servers and networks connected to the App.
Using the App for any commercial purpose without prior written consent from skeleton social.
11. Posting Copyrighted Material
You agree not to post any content that infringes on the intellectual property rights of others, including but not limited to copyrights, trademarks, and patents. You are responsible for ensuring that any content you post on the App is either your own original work or you have obtained the necessary permissions or licenses to use it. Posting copyrighted material without proper authorization is strictly prohibited.
12. Moderation Clause
Moderation of Content: skeleton social reserves the right to review, monitor, and remove any content posted on the App at its discretion, especially content that violates these Terms of Service or is deemed inappropriate.
13. Reporting Infringements
Reporting Mechanism: If you believe that any content on the App infringes your intellectual property rights, please contact us at team@skeletonsocial.app with detailed information about the alleged infringement.
14. Content Ownership
You retain ownership of the content you create on the App. By stating states (posts) and statements (comments/replies) in the general state feed, making scenes (groups), scripting (live typing), or any other content creation on the App, you grant skeleton social a non-exclusive, worldwide, royalty-free, transferable, sub-licensable license to use, reproduce, distribute, prepare derivative works of, display, and perform your content in connection with the App and skeleton social's (and its successors and affiliates) business, both on and off the platform. syncs and syndicate syncs (chat messages and group chats) are inherently private to members in sync threads on the App.
15. Privacy Policy
Your privacy is important to us. Please review our Privacy Policy, which explains how we collect, use, and disclose information that pertains to your privacy. The Privacy Policy is incorporated into these Terms of Service by reference.
16. End User License Agreement (EULA)
By using the App, you also agree to comply with and be bound by our EULA, which provides additional terms and conditions specific to the use of our software. The EULA is incorporated into these Terms of Service by reference.
17. Termination
skeleton social reserves the right to suspend or terminate your account and access to the App at any time, with or without cause, and with or without notice. Upon termination, your right to use the App will immediately cease. For specific consequences of termination, please refer to the EULA.
18. Disclaimers
The App is provided "as is" and "as available" without warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement. skeleton social does not warrant that the App will be uninterrupted, error-free, or free of viruses or other harmful components.
19. Limitation of Liability
To the maximum extent permitted by law, in no event shall skeleton social LLC, its directors, employees, or agents be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the App, whether based on warranty, contract, tort (including negligence), statute, or any other legal theory.
20. Indemnification
You agree to indemnify and hold harmless skeleton social LLC, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses, including without limitation, reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the App or your violation of these Terms of Service.
21. Governing Law
These Terms of Service are governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law principles. Disputes are resolved as set out in Section 23 below. Judgment on any arbitration award may be entered in any court of competent jurisdiction, including the state or federal courts located in Wyoming, subject to applicable law.
22. Changes to Terms of Service
skeleton social reserves the right to modify these Terms of Service at any time. We will notify you of any changes by posting the new Terms of Service on the App. Your continued use of the App after the posting of the new Terms of Service constitutes your acceptance of the new terms.
23. Dispute Resolution
In the event of any dispute arising out of or relating to these Terms of Service, you agree to first contact us at team@skeletonsocial.app to attempt to resolve the dispute informally. If we are unable to resolve the dispute informally, any dispute, controversy, or claim arising out of or relating to these Terms of Service or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be resolved by final and binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules before a single arbitrator. The Federal Arbitration Act governs the interpretation and enforcement of this agreement to arbitrate. The legal seat of arbitration is Wyoming. At your request, any hearing will be conducted by video or telephone, or if held in person, in the state where you reside as permitted by the AAA rules.
24. Changes to Service and Features
skeleton social reserves the right to add, remove, modify, suspend, or discontinue features, functionality, offerings, plans, or parts of the App at any time, subject to applicable law.
